Introduction
These Terms of Service ("Terms") govern your access to and use of the website, applications and services offered by Project 39 GmbH ("we", "us", "our"). By accessing or using our Service you agree to these Terms. If you are contracting on behalf of an organisation, you confirm you have authority to bind that organisation.
1. Scope & Definitions
- "Service" means our website, applications, APIs, software, integrations, tools, documentation and other features we provide.
- "You" or "User" means the person or legal entity using the Service.
- These Terms apply to all Users. For consumers resident in the EU / Germany, mandatory consumer protection laws apply and cannot be waived by contract.
2. Acceptance
By using the Service you accept these Terms. If you do not agree, do not use the Service.
3. Changes to the Terms
We may modify these Terms. For registered Users we will notify material changes and provide a reasonable period (at least 30 days) to accept or withdraw. Continued use after the notice constitutes acceptance.
4. Registration & Accounts
- You must provide accurate, complete and up-to-date registration information.
- You are responsible for account security and all actions using your account.
- For Enterprise accounts an administrator may create, manage and remove sub-accounts. The administrator is responsible for compliance by those users.
5. License & Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business or personal purposes. You may not sublicense, sell, distribute, reverse engineer, or otherwise misuse the Service.
6. Fees, Payment & Subscriptions
- Fees are payable in accordance with the pricing and billing terms displayed when you purchase.
- Subscriptions renew automatically unless terminated in accordance with the cancellation procedure set out in your account or the Service. We will give clear prior notice of any price increases affecting existing subscriptions.
- For consumers, automatic renewal and the right to cancel must be transparent and provided in a simple manner (see EU consumer rules). If you are a consumer you have the statutory right of withdrawal as described below.
- All fees exclude taxes unless stated otherwise. You are responsible for taxes applicable to your purchases.
7. Consumer Right of Withdrawal (Widerrufsrecht)
Only applies to consumers (private individuals) purchasing from within the EU.
- You have the right to withdraw from distance contracts within fourteen (14) days without giving any reason, subject to statutory exceptions.
- The 14-day period begins on the day after you (or a third party designated by you) receive the goods, or in case of digital content or ongoing services, on conclusion of the contract. If you request immediate performance of digital content or services during the withdrawal period you must explicitly consent to the immediate performance and acknowledge that you thereby forfeit the right of withdrawal as permitted by EU law.
- To exercise the right of withdrawal you must inform us by clear statement (e.g., email to [support@company.example]) before the 14-day period expires. You may use the model withdrawal form, but it is not mandatory.
- Returns and refunds will be processed without undue delay and, in any event, within 14 days of receipt of your withdrawal notice.
8. User Content & Responsibility
- You are solely responsible for content you upload, submit or otherwise make available through the Service ("Your Content").
- You represent and warrant you have all rights required to make Your Content available and that Your Content does not infringe third-party rights or violate applicable law.
- We may remove or restrict access to content that breaches these Terms or applicable law. We are not obliged to pre-screen content.
9. Data Protection & Privacy
- We process personal data in accordance with our Privacy Policy (below) and applicable data protection laws, including the EU General Data Protection Regulation (GDPR).
- Our Data Protection Officer (or privacy contact) can be reached at legal@allecta.co. Where required we will rely on appropriate transfer mechanisms (e.g., SCCs) for transfers outside the EEA.
10. Third-Party Services & LLMs
- The Service integrates to use third-party services (including large language models). We will provide information about which third parties process your data and the purposes of such processing at the time of you entering into a specific service with us.
- In the case of third-party LLM providers, we select providers whose terms can meet GDPR requirements. You should consult the Privacy Policy for details.
11. Intellectual Property
- We (and our licensors) own all intellectual property rights in the Service. You retain ownership of Your Content.
- By uploading Your Content you grant us a non-exclusive, royalty-free licence to use, host, store, reproduce, modify and display Your Content to provide the Service and comply with your chosen sharing settings.
- If you believe your IP rights are infringed, follow the takedown procedure described in Section 16 below.
12. User Conduct
You agree not to use the Service to upload, transmit or otherwise make available content that is unlawful, harmful, defamatory, infringing, abusive, pornographic, discriminatory or that violates applicable laws (including anti-spam laws).
13. Monitoring, Enforcement & Suspension
We may monitor activity and content and may suspend or terminate access where we reasonably suspect violations of these Terms or illegal activity. We will endeavour to notify affected Users where legally required.
14. Warranties & Consumer Guarantees (Gewährleistung)
- To the extent permitted by law, the Service is provided "as is". We disclaim all warranties except those that cannot be excluded under applicable law.
- For consumers in the EU, statutory consumer warranties (Gewährleistungsrechte) apply. For contracts for goods, statutory liability for defects applies for two years (or longer if local law provides). For digital content the statutory rules on conformity apply.
15. Limitation of Liability
- Where permitted by applicable law, our liability for loss or damage is limited to intent and gross negligence. For slight negligence our liability is limited to typical contractual, foreseeable damage — except for personal injury or mandatory statutory liability (e.g., product liability), which remain unaffected.
- For consumers the above limitations apply only to the extent permitted by mandatory consumer law. In particular, consumer statutory rights (e.g., warranty periods, withdrawal rights) cannot be restricted.

Please include sufficient information to allow us to investigate and identify the allegedly infringing material (description of the material, location, your contact details, and a statement made under penalty of perjury that the information is accurate).
17. Termination
- We may suspend or terminate access where you breach these Terms. You may terminate by closing your account. Some provisions survive termination (e.g., payment obligations, IP licences, limitation of liability).
18. Governing Law & Jurisdiction
- These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict of laws rules that would refer to another jurisdiction.
- Consumers: If you are a consumer domiciled in an EU member state, you may bring proceedings in the courts of the member state in which you are domiciled. Where the consumer has a German domicile, the courts of [City, Germany] shall have non-exclusive jurisdiction.
- Businesses: For users who are not consumers, the exclusive place of jurisdiction is the registered seat of [Company Name] or, alternatively, the courts of [City, Germany].

19. Arbitration & Dispute Resolution
For disputes between businesses, the parties may agree to arbitration. Arbitration clauses cannot restrict consumers’ statutory rights; therefore, no arbitration is imposed on consumers by these Terms.
20. Electronic Communications
Communications between you and us may be electronic. Electronic notices to you (e.g., email) are effective when sent to the address you provided.
21. Export Control
You agree not to use the Service in violation of applicable export laws and regulations.
22. Miscellaneous
- Assignment: You may not assign your rights under these Terms without our consent. We may assign rights and obligations to affiliates or in connection with a sale of the business.
- Severability: If a provision is invalid, the remainder remains in effect. For consumers, where a clause is ineffective under mandatory law, it shall be replaced by the statutory provision.
- Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and us with respect to the Service.

We collect only the data necessary to respond to user-initiated contact via our website. All data is handled in accordance with the GDPR and applicable EU privacy law.
If you submit a form on this website, your data may be stored securely for the purpose of following up on your request. You can request deletion of this data at any time.
We use Google Analytics with anonymized IP tracking to understand general usage patterns. Consent is required before this is activated.
